Terms of Service & Bylaws

Lesotho Standards Institution PTY is a non-profit institution registered in the Kingdom of Lesotho under Registration No. 59725, with its registered office at 12st Arbea 120, Lesotho. The Institution operates exclusively for public benefit, consumer protection, quality advancement and civic development.

No part of the Institution's income or property may be distributed, directly or indirectly, to any member, director or officer other than as reasonable compensation for services actually rendered to the Institution.

To develop, publish and maintain voluntary national standards and safety codes; to build the quality capacity of local enterprises; to educate the public on consumer rights and product safety; to promote sustainable and cleaner industrial practice; and to cooperate with government, regional and international standards bodies in the public interest.

The Institution is governed by a Board of Directors of no fewer than five and no more than eleven members, elected for three-year terms and eligible for one consecutive re-election. Board service is unremunerated.

The Board appoints an Executive Director to conduct day-to-day operations, and constitutes technical committees whose members serve voluntarily. Committees operate by consensus where possible and by simple majority where consensus cannot be reached.

An annual general meeting is held within six months of the close of each financial year, at which the audited accounts and the annual report are presented and made available to the public.

All funds are held in institutional accounts operated under dual signature. The accounts are examined annually by an independent auditor registered in Lesotho, and a summary is published. Restricted grants are applied solely to their stated purpose and reported separately.

Guidance notes, frameworks and consumer materials published by the Institution may be read, quoted, printed and distributed free of charge for non-commercial public-benefit purposes, provided the Institution is credited and the document is not altered.

Published standards are voluntary unless adopted into law by a competent authority. Conformity with a published standard does not itself constitute certification by the Institution, and the Institution does not authorise any party to claim certification it has not issued in writing.

Content is provided in good faith and reviewed by qualified committees, but the Institution gives no warranty that a document is suitable for a particular commercial or legal purpose. Users remain responsible for their own compliance obligations.

To the fullest extent permitted by the law of Lesotho, the Institution is not liable for indirect or consequential loss arising from reliance on website content. Nothing in these terms limits liability for fraud or for anything that may not lawfully be limited.

Complaints concerning the conduct of the Institution, a committee or an officer may be addressed in writing to the Chairperson of the Board at the registered address. Complaints are acknowledged within ten working days and concluded within sixty days.

Upon dissolution, any assets remaining after settlement of liabilities shall be transferred to another non-profit body registered in Lesotho with objects similar to those of the Institution, and shall in no circumstances be distributed to members.

These terms and the Institution's bylaws are governed by the law of the Kingdom of Lesotho, and the courts of Lesotho have exclusive jurisdiction over any dispute arising from them.
